Job Description
The Legal Counsel will provide legal support for Acumen's fund formation, management, and investment activities, ensuring compliance and risk management across various stakeholders in a fast-paced, impact-driven environment.
Key Responsibilities
- Provide legal support throughout the lifecycle of pooled investment funds, including development, formation, marketing, investor diligence, funding, negotiation, operationalization, reporting, and liquidation.
- Manage legal projects involving various stakeholders, coordinate legal involvement in transactions, and oversee outside counsel activities.
- Review and negotiate fund documentation, marketing materials, and reporting to ensure regulatory compliance and alignment with funder requirements.
- Support the management of relationships with funders and negotiate terms for new fund initiatives.
- Assist in due diligence, review of term sheets, final documentation, and contractual needs for fund investments and related agreements.
- Collaborate with the internal legal team on structuring investments, drafting contracts, and supporting operational initiatives.
Requirements
- Minimum of 5 years of experience practicing corporate law and managing legal projects across various stakeholders
- Experience with funds formation, including understanding of pooled investment vehicles, fund lifecycle activities (development, marketing, investor diligence, funding proposals, formation, negotiation, implementation, operationalization, reporting, and liquidation)
- Must be licensed to practice law in the US, with a JD or equivalent
- Must be authorized to work in the US
- Strong organizational and diplomacy skills, with the ability to work and deliver various, simultaneous projects independently, proactively, and under pressure
- Excellent written and verbal communication skills, with the ability to communicate complex issues and implications with various team members
- Commitment to accuracy, attention to detail, and follow-through

- Aptitude for and comfort navigating ambiguity, and striving to create clarity, with a constant emphasis on integrity and ethical behavior

Benefits & Perks
Salary range of 90,000 to 120,000 USD plus a performance-based bonus
