Job Description
The Commercial Transactions Counsel will support 1st Avenue Power's renewable energy projects by negotiating contracts, ensuring regulatory compliance, advising on acquisitions, and managing legal risks to facilitate the company's growth in clean energy infrastructure.
Key Responsibilities
- Draft, review, and negotiate commercial contracts including EPC agreements, supply agreements, power purchase agreements, and permitting documents.
- Provide legal support for renewable energy project acquisitions.
- Collaborate with internal teams to assess and manage legal risks related to contracts and transactions.
- Monitor and ensure compliance with evolving energy regulations and develop related policies and procedures.
- Create legal processes, templates, and risk review frameworks to support scalable operations.
- Partner with outside counsel on complex legal matters.
Requirements
- J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction, preferably California
- Minimum of 5 years of legal experience, including at least 2 years of in-house counsel experience in the renewable energy, energy infrastructure, or clean tech sectors
- Experience drafting and negotiating supplier agreements in the renewables space, including EPC contracts, solar equipment supply agreements (PV, BESS, power electronics), power purchase agreements, and permitting or interconnection documentation
- Ability to advise on the interpretation of contractual and regulatory documents orally and in writing
- Excellent drafting, communication, negotiation, and interpersonal skills
- Comfortable working in a fast-paced, entrepreneurial environment with cross-functional teams
- Ability to independently manage multiple projects and priorities
- Ability to work effectively both independently and as part of a cohesive team
