A Corporate Counsel at Cypress Creek Renewables provides legal support for project finance, M&A transactions, and contract negotiations related to solar and energy storage projects, collaborating with internal teams and external partners to facilitate complex renewable energy deals.
Key Responsibilities
Lead legal support for project finance transactions, including structuring, drafting, and negotiating financing documents such as loan agreements, security agreements, and guarantees.
Manage legal aspects of acquisition and sale of solar energy facilities and battery storage systems, including drafting and negotiating transaction documents.
Coordinate due diligence efforts and collaborate with internal teams and external partners on project finance and M&A transactions.
Draft and negotiate miscellaneous commercial contracts such as power purchase agreements, services agreements, consulting agreements, and non-disclosure agreements.
Manage internal paralegals and outside legal counsel to support transactions and contract negotiations.
Engage with internal executives, investors, lenders, and other stakeholders to facilitate transaction approvals and execution.
Requirements
J.D. from an accredited law school and current license to practice law.
Minimum of 5 years of experience with a law firm or in-house legal department.
Experience negotiating project finance transactions including tax equity and M A transactions in the renewable energy industry.
Experience drafting and negotiating financing documents including loan agreements, partnership agreements, security agreements, and guarantees.
Experience acting as legal lead on the acquisition and sale of solar energy facilities and battery energy storage systems at all stages of development, construction, or operation.
Experience working with outside lenders, tax equity investors, project buyers and sellers, and other business partners to negotiate commercial issues.
Experience coordinating diligence efforts on project finance and M A transactions, working closely with finance and development teams.
Experience drafting and negotiating miscellaneous commercial contracts including power purchase agreements, services agreements, consulting agreements, and non-disclosure agreements.
Ability to manage internal paralegals to support transactions and contract negotiations.
Ability to manage outside legal counsel as needed to facilitate project finance and M A transactions and development efforts.
Ability to engage with internal executives, Investment Committee, Board of Directors, external investors, and corporate lenders in support of approving and executing transactions and key contracts.
Exceptional problem-solving skills and a business-oriented approach to resolving legal issues.
Exceptional written, verbal, and interpersonal communication skills.
Ability to prioritize multiple assignments and meet tight deadlines.
Ability to analyze complex issues and advise internal business partners appropriately.
Ability to work in a hybrid schedule, with in-office presence of three days per week, preferably located in New York City, NY or Durham, NC.
