Job Description
The Senior Manager Legal Corporate at Akaysha Energy is responsible for overseeing corporate governance, regulatory compliance, and legal support for commercial agreements across multiple jurisdictions, while leading legal operations and fostering efficient workflows in a fast-growing renewable energy company.
Key Responsibilities
- Oversee corporate governance requirements, regulatory filings, and statutory records across multiple jurisdictions.
- Prepare and coordinate board and shareholder meetings, including drafting resolutions and maintaining governance documentation.
- Ensure compliance with corporate laws and regulations in all operating regions.
- Draft, review, and negotiate business agreements such as consultancy, SaaS, master services, and leases.
- Develop and maintain contract playbooks, templates, and workflows throughout the contract lifecycle.
- Embed privacy and cybersecurity compliance requirements into agreements and operational processes.
- Design and manage supplier due diligence and contract management systems in collaboration with procurement, compliance, and risk teams.
- Lead and mentor the legal operations team, fostering continuous improvement and delivering training.
- Implement and refine legal operations systems, including tools, checklists, and recordkeeping processes.
Requirements
- Experience in managing corporate governance processes, including preparing resolutions, maintaining statutory records, and overseeing board and shareholder matters.
- Strong background in ensuring compliance with multi-jurisdictional corporate laws, including managing corporate registrations and filings across Australia, the US, Japan, and Germany.
- Proven ability to draft, review, and negotiate a variety of business agreements such as consultancy, software, SaaS, master services, labour-hire, and leases, ensuring alignment with governance policies and risk appetite.
- Experience in developing and maintaining contract playbooks, templates, and workflows, and overseeing the full contract lifecycle from approval through to execution and filing.
- In-depth knowledge of privacy and cybersecurity law requirements, including implementing privacy and cybersecurity compliance across global operations.
- Robust experience in KYC and data protection compliance in diverse jurisdictions.
- Experience in designing and managing supplier due diligence processes, including checklists, escalation procedures, and recordkeeping systems, in partnership with procurement, compliance, and risk teams.
- Ability to embed privacy and cybersecurity considerations into operational processes and legal agreements by collaborating with IT, risk, and compliance teams.
- Experience in leading and mentoring legal operations teams, including delivering training, improving legal tools, and designing efficient workflows.
- Demonstrated ability to design and manage effective governance support systems for boards and committees, including streamlining administration, documentation, and statutory compliance.
- Ability to ensure ongoing compliance with the Corporations Act 2001 Cth and global corporate law requirements, including managing corporate registrations, filings, and governance registers.
- Experience in preparing and coordinating board and shareholder meetings, including drafting resolutions and compiling meeting materials.
- Strong legal skills in supporting commercial business agreements, including balancing legal risk with commercial goals.
- Ability to monitor and advise on changes in corporate governance and regulatory obligations to ensure business compliance in all operating regions.
