Job Description

The Legal Manager - Corporate at Akaysha Energy is responsible for overseeing corporate governance, regulatory compliance, and legal support for commercial agreements across multiple countries, while also leading legal operations and ensuring efficient legal processes within a fast-growing renewable energy company.

Key Responsibilities

  • Manage corporate governance requirements, regulatory filings, and statutory records across multiple jurisdictions.
  • Prepare and coordinate board and shareholder meetings, including drafting resolutions and maintaining governance documentation.
  • Draft, review, and negotiate various business agreements such as consultancy, SaaS, master services, and leases.
  • Develop and maintain contract playbooks, templates, and workflows throughout the contract lifecycle.
  • Embed privacy and cybersecurity compliance into agreements and operational processes in collaboration with IT, risk, and compliance teams.
  • Design and oversee supplier due diligence and contract management tools in partnership with procurement, compliance, and risk functions.
  • Lead and mentor the legal operations team, fostering continuous improvement and delivering legal training.

Requirements

  • Experience in managing corporate governance processes, including preparing resolutions, maintaining governance registers, and overseeing board and shareholder matters across multiple jurisdictions (Australia, the US, Japan, and Germany).
  • Proven ability to ensure ongoing compliance with the Corporations Act 2001 Cth and global corporate law requirements, including managing corporate registrations, filings, and statutory records.
  • Strong background in drafting, reviewing, and negotiating a variety of business agreements such as consultancy, software, SaaS, master services, labour-hire, and leases, ensuring alignment with governance policies and risk appetite.
  • Experience in developing and maintaining contract playbooks, templates, workflows, and overseeing the full contract lifecycle from approval through to execution and filing.
  • Ability to embed privacy and cybersecurity compliance requirements into agreements and operational processes, collaborating with IT, risk, and compliance teams to meet global legal obligations.
  • Experience in designing and managing supplier due diligence and contract management tools, including checklists, escalation procedures, and recordkeeping systems, in partnership with procurement, compliance, and risk functions.
  • Leadership experience in leading and mentoring a legal operations team, fostering continuous improvement, delivering training, and ensuring efficient legal support for a fast-growing, international organization.
  • Hands-on experience managing board processes, preparing resolutions, and maintaining efficient governance practices.
  • Strong background in ensuring multi-jurisdictional compliance and overseeing regulatory filings.
  • Proven capability in drafting and negotiating commercial agreements related to consultancy, technology, and services, with the ability to balance legal risk with commercial goals.
  • In-depth knowledge of privacy and cybersecurity law requirements across global operations, including robust KYC and data protection compliance experience in diverse jurisdictions.
  • Experience in implementing and refining legal operations systems, including the development of playbooks and templates, and continuous improvement of legal tools and operational processes.
  • Track record of designing and managing effective board and committee governance systems, streamlining administration, documentation, and statutory compliance for seamless operations.
