Job Description
The Commercial Counsel at Nuro will handle and negotiate a wide range of commercial agreements related to supply chain, partnerships, intellectual property, and other business transactions, providing legal guidance to support the company's growth and operations in the autonomous vehicle industry.
Key Responsibilities
- Structure, draft, negotiate, and advise on commercial agreements related to vehicle systems, components, intellectual property, partnerships, licenses, services, and goods.
- Manage the entire contracting process from inception to post-closure, including leading negotiations and finalizing agreements.
- Explain legal terms, identify risks, and develop strategies to achieve favorable, risk-mitigated outcomes aligned with company goals.
- Train and advise internal teams on legal requirements and best practices for commercial transactions.
- Streamline and improve the contracting process through negotiation playbooks and automation of contract workflows.
- Provide legal support across various practice areas such as IP, privacy, marketing, real estate, and product transactions as needed.
Requirements
- You have 8 years of experience as a lawyer in a fast-growing, technology-focused organization either in-house, working for similar clients at a top-tier law firm, or both.
- You have deep commercial contracting expertise and are familiar with intellectual property (IP) terms.
- You are admitted to at least one state bar and ideally a member of the California Bar; admission in other jurisdictions is a plus.
- You are able to structure, draft, negotiate, and advise on commercial agreements including those for the development and supply of vehicle systems and components, intellectual property, strategic partnerships, software licenses, SaaS, professional services, non-disclosure agreements, general goods and services.
- You have experience managing a range of agreements from basic to complex, with impeccable attention to detail and follow-through.
- You are comfortable explaining legal terms, identifying related risks, and setting and executing tactics to achieve favorable, risk-mitigated results aligned with company objectives and standards.
- You have experience partnering with business and technical teams to lead, negotiate with counterparties, and finalize commercial agreements.
- You are capable of training diverse teams on legal requirements and best practices for commercial agreements.
- You are skilled in streamlining the contracting process by preparing and implementing negotiation playbooks and refining and automating contract management workflows.
- You are able to take on opportunities and add value in practice areas beyond commercial transactions such as intellectual property, privacy, marketing, real estate, and product customer-facing transactions as needed.
- You are a self-starter, able to manage multiple tasks and competing priorities in a fast-paced environment, including reviewing agreements on short notice and driving projects from start to finish.
- You are a precise and fast writer, capable of tailoring legal documents for different audiences and producing polished, management-ready, and external-facing legal documents.
