Key Responsibilities
Commercial Contracts : Collaborate directly with the Procurement team and stakeholders to review, draft, and negotiate NDAs, standard vendor agreements, service agreements, SOWs, renewals, and software licenses.
Playbook Implementation : Work together with the Senior Counsel to develop templates, playbooks and “default/fallback” positions for NDAs, services agreements, evaluation agreements, SaaS contracts, staffing & consulting agreements (work with the Aurora employment counsel), etc.
Technology Support : Work together with the Senior Counsel and other legal team members to implement new legal technology (e.g., CLM tools, AI-driven contract review software) to help streamline and improve workflows.
Compliance : Update and maintain internal non-compete & non-solicitation tracker; provide routine updates to the template inventory.
Ad Hoc Corporate Support : Assist M&A activities, including organizing virtual data rooms, reviewing target contracts, etc.
Requirements
Juris Doctor degree from an accredited law school
License to practice in PA
3-6 years of law firm and/or in-house experience negotiating commercial contracts
Good understanding of critical commercial clauses, including limitations of liability, complex indemnification structures, intellectual property ownership, and warranties
Experience in negotiating DPAs and aligning vendor terms with privacy frameworks like GDPR, CCPA, and evolving data security protocols
Experience in creating standardized contract templates and negotiation "fallback playbooks"
Sound judgment and composure in high-pressure situations; proven ability to display discretion and integrity in all interactions
A proactive nature and "can-do" attitude; the ability to work independently in a fast-paced environment with many new challenges
A keen aptitude for problem-solving
Proven ability to build solid, trusting and credible relationships
Excellent writing, communication, and people skills
The base salary range for this position is $135,000-$216,000 per year. Aurora’s pay ranges are determined by role, level, and location. Within the range, the successful candidate’s starting base pay will be determined based on factors including job-related skills, experience, qualifications, relevant education or training, and market conditions. These ranges may be modified in the future. The successful candidate will also be eligible for an annual bonus, equity compensation, and benefits.
