Job Description
The Legal Manager - Corporate at Akaysha Energy is responsible for overseeing corporate governance, legal compliance, and commercial contracts across multiple international regions, while supporting the company's growth in sustainable energy solutions.
Key Responsibilities
- Oversee corporate governance requirements, regulatory filings, and statutory records across multiple jurisdictions.
- Manage board, shareholder, and committee processes, including drafting resolutions and preparing meeting materials.
- Ensure compliance with corporate laws and regulations in all operating regions.
- Draft, review, and negotiate various business agreements, ensuring alignment with governance policies and risk appetite.
- Develop and maintain contract playbooks, templates, and workflows throughout the contract lifecycle.
- Embed privacy and cybersecurity compliance requirements into agreements and operational processes.
- Design and manage supplier due diligence and contract management systems in collaboration with procurement, compliance, and risk teams.
- Lead and mentor the legal operations team, fostering continuous improvement and delivering training.
- Implement and refine legal operations systems, including tools, templates, and workflows.
Requirements
- Experience in managing board processes, preparing resolutions, and maintaining efficient governance practices.
- Strong background in ensuring multi-jurisdictional compliance and overseeing corporate regulatory filings in Australia, the US, Japan, and Germany.
- Hands-on experience managing corporate registrations, filings, and governance registers across multiple regions.
- Proven capability in drafting, reviewing, and negotiating a variety of business agreements including consultancy, software, SaaS, master services, labour-hire, and leases.
- Experience in balancing legal risk with commercial goals and supporting stakeholders for optimal business outcomes.
- In-depth knowledge to implement privacy and cybersecurity law requirements across global operations.
- Robust experience in KYC and data protection compliance in diverse jurisdictions.
- Experience in designing and managing supplier due diligence processes, including checklists, escalation procedures, and recordkeeping systems.
- Ability to develop and maintain contract playbooks, templates, and workflows, and oversee the full contract lifecycle from approval through to execution and filing.
- Experience in embedding privacy and cybersecurity compliance requirements into operational processes in collaboration with IT, risk, and compliance teams.
- Proven ability to design and manage effective board and committee governance systems, streamlining administration, documentation, and statutory compliance.
- Demonstrated experience in implementing and refining legal operations systems, including legal tools, playbooks, and templates.
- Leadership skills to lead and mentor the legal operations team, fostering continuous improvement and delivering training.
- Ability to monitor and advise on changes in corporate governance and related regulatory obligations to ensure ongoing compliance.
- Experience in preparing and coordinating board and shareholder matters, including drafting resolutions, compiling meeting materials, and maintaining statutory records.
- Strong understanding of corporate law requirements, including the Corporations Act 2001 Cth and related global legal obligations.
- Excellent communication and collaboration skills to work closely with General Counsel, Company Secretary, procurement, compliance, risk, and IT teams.
- Commitment to continuous improvement of legal processes and operational efficiency.
