Job Description
The Legal Counsel will provide legal support for Acumen's fund formation, management, and investment activities, ensuring compliance and risk management across the organization’s impact-driven investment programs. The role involves managing legal projects, coordinating with stakeholders, and supporting the development and oversight of pooled investment vehicles to advance social and economic impact.
Key Responsibilities
- Provide legal support throughout the lifecycle of pooled investment funds, including development, formation, and liquidation.
- Manage legal projects involving fund marketing, investor diligence, funding proposals, negotiations, and compliance.
- Review and negotiate fund documentation, marketing materials, and reporting to ensure regulatory compliance and clarity.
- Coordinate with internal teams and outside counsel on legal aspects of fund activities and new fund offerings.
- Assist in due diligence, review of term sheets, and contractual agreements related to fund investments and obligations.
- Support the legal aspects of venture capital, impact investing, and development finance transactions.
- Monitor fund activities to ensure alignment with investor requirements and regulatory notices.
- Collaborate with the legal team on structuring investments, drafting contracts, and operational initiatives.
Requirements
- Minimum of 5 years of experience practicing corporate law and managing legal projects across various stakeholders.
- Experience with funds formation, including understanding of pooled investment vehicle lifecycle from development, marketing, investor diligence, funding proposals, formation, negotiation, implementation, operationalization, reporting, and liquidation.
- Must be licensed to practice law in the US, with a JD or equivalent.
- Must be authorized to work in the US.
- Strong organizational and diplomacy skills, with the ability to work and deliver various, simultaneous projects independently, proactively, and under pressure.
- Excellent written and verbal communication skills, with the ability to communicate complex issues and implications with various team members to support decision-making.

Salary range of 90,000 to 120,000 USD plus a performance-based bonus
