The Director, Corporate and Securities Counsel at Solid Power provides legal guidance on securities, corporate governance, and commercial matters, supporting compliance, filings, and cross-functional legal needs within a fast-paced, publicly-traded company environment.
Key Responsibilities
Lead or support the preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
Advise on public company and securities law compliance, including SEC reporting, disclosure controls, Nasdaq rules, and corporate governance trends.
Support the preparation of materials, resolutions, and minutes for Board of Directors, committees, and stockholder meetings.
Provide legal counsel on commercial and operational matters, including drafting, reviewing, and negotiating commercial agreements such as NDAs and transfer agreements.
Coordinate with and manage outside counsel as needed.
Requirements
Juris Doctor from an accredited law school and admission or eligibility to the Colorado bar.
3-6 years of corporate and securities experience law firm and or in-house.
Experience supporting or leading preparation and review of SEC filings, including Forms 10-K, 10-Q, and 8-K, and proxy statements.
Experience advising on public company and corporate securities law matters and related compliance, including SEC reporting, disclosure controls, Nasdaq compliance, and public disclosures.
Experience supporting or preparing for Board of Directors, Board committee, and stockholder meetings, including preparation of materials, resolutions, and minutes.
Ability to monitor and advise on developments in securities laws and regulations, Nasdaq rules, proxy advisor guidance, and corporate governance trends.
Experience drafting, reviewing, and negotiating commercial agreements, including NDAs, material transfer agreements, and other contracts.
Ability to provide day-to-day, pragmatic legal counsel and advice to internal stakeholders regarding various legal matters.
Experience coordinating with and managing outside counsel as needed.

Salary range: $200,000 - $240,000 annually
