Job Description
The Associate General Counsel, Origination Commercial at Plus Power provides legal support for utility-scale energy storage projects, including negotiating offtake agreements, conducting due diligence, and supporting project finance and M&A transactions within the renewable energy sector.
Key Responsibilities
- Negotiate offtake agreements, including tolling and structured offtake agreements
- Conduct due diligence and negotiate mergers and acquisitions (M&A) opportunities
- Review requests for proposals and develop comprehensive bid submissions
- Coordinate with subject matter experts to review and incorporate feedback on deal documents
- Provide commercial inputs for project finance transactions in collaboration with the Finance Team
- Oversee outside counsel on select transactions and assist in their selection
Requirements
- J.D. degree is required.
- Minimum of 3-4 years of top-tier law firm experience working with renewable energy project development.
- At least 1-2 years of in-house legal experience with a renewable energy standalone energy storage developer or investor-owned utility, focusing on resource procurement and M&A is preferred.
- Experience leading negotiations of power purchase agreements.
- Experience structuring and negotiating project-scale M&A transactions.
- Knowledge of project finance structures and implications on project development M&A transactions.
- Strong business acumen with excellent commercial judgment.
- Highly organized with impeccable attention to detail.
- Ability to effectively manage multiple priorities and deliver timely, high-quality results.
- Ability to work collaboratively and effectively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed.
- Demonstrated ability to use Microsoft Office products Word, Excel, and PowerPoint.
