Job Description

The Commercial Counsel at Nuro will handle and negotiate a wide range of commercial agreements related to supply chain, partnerships, intellectual property, and other business transactions, providing legal guidance to support the company's growth and operations in the autonomous vehicle industry.

Key Responsibilities

  • Structure, draft, negotiate, and advise on commercial agreements related to vehicle systems, intellectual property, partnerships, licenses, services, and goods.
  • Manage the contracting process from inception to post-closure, including leading negotiations and finalizing agreements.
  • Explain legal terms, identify risks, and develop strategies to achieve favorable, risk-mitigated outcomes aligned with company goals.
  • Train and increase legal awareness among diverse teams on commercial agreement requirements and best practices.
  • Streamline and improve the contracting process through negotiation playbooks and automation of contract workflows.
  • Provide legal support across various practice areas such as IP, privacy, marketing, real estate, and product transactions as needed.

Requirements

  • You have 8 years of experience as a lawyer in a fast-growing, technology-focused organization either in-house, working for similar clients at a top-tier law firm, or both.
  • You have deep commercial contracting expertise and are familiar with intellectual property terms.
  • You are admitted to at least one state bar and ideally a member of the California Bar; admission in other jurisdictions is a plus.
  • You are able to structure, draft, negotiate, and advise on commercial agreements including those for the development and supply of vehicle systems and components, intellectual property, strategic partnerships, software licenses, SaaS, professional services, non-disclosure agreements, general goods and services.
  • You have experience working across a wide range of legal areas including Supply Chain, Business Development, Product, Partnerships, Intellectual Property Licensing, Data Privacy and Security, Marketing, Real Estate, and Facilities.
  • You are capable of owning the contracting process from inception to post-closure, partnering with business and technical teams to lead negotiations and finalize agreements.
  • You can concisely explain legal terms, identify related risks, and set and execute tactics to achieve favorable, risk-mitigated results aligned with company objectives and standards.
  • You can train diverse teams on legal requirements and best practices for commercial agreements.
  • You are skilled in continuously improving and streamlining the contracting process, including preparing and implementing negotiation playbooks and automating contract management workflows.
  • You are comfortable taking the lead on legal documents, tailoring your writing to different audiences, and producing polished, management-ready legal documents quickly.
  • You are capable of serving as a legal resource across multiple practice areas beyond commercial transactions, such as intellectual property, privacy, marketing, real estate, and product customer-facing transactions.
  • You thrive in fast-paced environments, juggling multiple tasks and priorities, and managing long-term and complex projects from start to finish.
  • You are a self-starter, known for driving processes, following through, and finding solutions to get results.
  • You are a creative and collaborative decision-maker, skilled in legal research and evaluating options based on sound legal and business judgment.
  • You are experienced in engaging with teams and leaders, helping prioritize important issues, and delivering impactful legal input.
  • You are a fast and precise writer, able to produce clear, tailored legal documents suitable for management and external audiences.
  • You care deeply about making a significant impact on the lives of millions of people and recognize the responsibility that comes with it.
