Job Description
The Commercial Counsel at Nuro will handle and negotiate a wide range of commercial agreements related to supply chain, partnerships, intellectual property, and other business transactions, providing legal guidance to support the company's growth and operations in the autonomous vehicle industry.
Key Responsibilities
- Structure, draft, negotiate, and advise on commercial agreements related to vehicle systems, intellectual property, strategic partnerships, software licenses, SaaS, professional services, and general goods and services.
- Manage the contracting process from inception to post-closure, including leading negotiations and finalizing agreements.
- Explain legal terms, identify risks, and develop strategies to achieve favorable, risk-mitigated outcomes aligned with company objectives.
- Train teams on legal requirements and best practices for commercial agreements.
- Streamline and improve the contracting process through negotiation playbooks and automation of contract workflows.
- Provide legal support across various practice areas such as IP, privacy, marketing, real estate, and product transactions as needed.
Requirements
- You have 8 years of experience as a lawyer in a fast-growing, technology-focused organization either in-house, working for similar clients at a top-tier law firm, or both.
- You have deep commercial contracting expertise and are familiar with intellectual property (IP) terms.
- You are admitted to at least one state bar and ideally a member of the California Bar; admission in other jurisdictions is a plus.
- You are able to manage and negotiate a wide range of commercial agreements, including those for the development and supply of vehicle systems and components, intellectual property, strategic partnerships, software licenses, SaaS, professional services, non-disclosure agreements, and general goods and services.
- You have the ability to explain legal terms concisely, identify related risks, and set and execute tactics to achieve the most favorable, risk-mitigated results aligned with company objectives and standards.
- You are comfortable helping clients evaluate options when it comes to acceptable risk and making calls based on sound legal and business judgment.
- You are a self-starter, capable of driving long-term and complex projects from start to finish, reviewing agreements on short notice, and following through to get results.
- You are a master of legal research and a creative, collaborative decision-maker focused on finding the best right answer among competing demands.
- You are comfortable taking the first draft of legal documents and tailoring your writing to different audiences, producing polished written products ready for management and external consumption.
- You are experienced in serving as a go-to legal resource in a fast-paced startup environment, juggling multiple tasks and priorities effectively.
- You have the ability to engage with teams and their leaders, helping to prioritize important issues and deliver on their objectives.
- You are passionate about making a significant impact on the lives of millions of people and recognize the responsibility that comes with it.

Compensation/salary range: between 235,030 and 352,290 USD base pay, plus annual performance bonus, equity, and a competitive benefits package
