The Contracts Specialist at New Leaf Energy manages the execution, negotiation, and administration of contracts for clean energy projects, primarily focusing on power plant development, supply agreements, and vendor management, supporting the company's transition to renewable energy asset ownership.
Key Responsibilities
Support the drafting, negotiation, and management of EPC, O&M, supply, and purchase agreements and amendments
Coordinate the execution of project contracts, including approval of exhibits and attachments
Evaluate contractor and supplier proposals, conduct bid comparisons, and review commercial terms
Ensure scope of work clarity and technical alignment with project requirements
Manage vendor compliance with insurance and contractual requirements
Maintain proper documentation and recordkeeping throughout the project lifecycle
Support the management and monitoring of project contracts, financing documents, and compliance requirements
Assist in change order review, claims management, and dispute resolution
Identify and escalate potential contractual and commercial risks
Develop and improve standard contracting templates, checklists, and materials
Requirements
Bachelor's degree in Business, Engineering, Construction Management, or related field
At least three years of prior experience in renewable energy EPC contracting, project development, equipment supply, or construction contract administration
Understanding of EPC contract forms, structures, and terms
Understanding of solar module and battery energy storage system supply agreements and long-term service agreements
Proven stakeholder management, communication, and organization skills
Experience supporting the drafting, negotiation, and management of EPC, O M, and supply and purchase agreements, amendments, and related project contracts
Experience managing the execution of agreements, including all required exhibits and attachments, and coordinating with internal and external parties necessary to approve
Ability to evaluate contractor and supplier proposals, bid comparisons, and commercial terms, including driving key terms reviews with shortlisted counterparties
Ability to ensure scopes of work are clearly defined and aligned with technical requirements
Ability to ensure vendor compliance with insurance and other requirements before work is released
Experience supporting the management, monitoring, and ensuring compliance with financing documents, EPC agreements, and project contracts
Experience supporting the management and procurement of all deliverables necessary to meet conditions precedent under financing facilities to facilitate loan draws
Experience supporting change order review, claims management, and dispute resolution
Ability to incorporate and track key deal terms such as Liquidated Damages, Performance Guarantees, Milestone schedules, Payment structures, and risk documentation
Ability to identify potential contractual and commercial risks and escalate to senior team members
Experience maintaining organized records of contract drafts, comments, and execution versions
Understanding of structured finance requirements and lender diligence processes (preferred)
Legal training or experience working alongside legal teams (preferred)
