Job Description
The Corporate Development Director at Celonis is responsible for leading mergers and acquisitions, strategic investments, and growth initiatives by sourcing, evaluating, negotiating, and integrating deals to support the company's strategic objectives in the enterprise software industry.
Key Responsibilities
- Partner with business units to develop strategies and identify product gaps.
- Oversee all aspects of mergers and acquisitions, including sourcing, screening, due diligence, negotiation, and closing.
- Conduct deep due diligence on target companies, including market, management, and customer analysis.
- Structure and negotiate deal terms such as valuation, financing, and legal agreements.
- Prepare strategic deal memos and presentations for executive decision-making.
- Manage the transaction process, coordinating internal teams and external stakeholders.
- Develop and implement integration plans for acquired companies to ensure successful assimilation.
- Lead cross-functional teams to achieve synergy targets and maximize acquisition value.
Requirements
- 8 years of experience in corporate development, investment banking, or a related field in or with exposure to enterprise software
- Undergraduate degree from a top-tier university in Finance, Economics, Mathematics, Engineering or similar discipline
- Proven track record of leading and executing M A transactions and strategic investments
- Excellent communication skills, both written and oral, including the ability to craft investment memos and presentations and present to executive management
- Strong financial modeling and valuation skills
- Excellent analytical and problem-solving skills with experience in building decision frameworks models
- Ability to manage complex projects and work cross-functionally under pressure, while maintaining high attention to detail
- Experience overseeing all aspects of the M A process, from sourcing, initial screening, due diligence, negotiation, closing, to integration
- Ability to structure and negotiate deal terms, including valuation, financing, and legal agreements
- Experience developing and implementing integration plans to ensure the successful assimilation of acquired companies
- Experience managing internal cross-functional due diligence teams as well as target stakeholders and advisors during transactions
