Job Description
The Legal Counsel at Acumen will provide legal support related to fund formation, transactional law, and organizational risk management, primarily focusing on pooled investment vehicles, while collaborating with various teams to support impact-driven investments and organizational operations.
Key Responsibilities
- Provide legal support throughout the lifecycle of pooled investment vehicles, including development, formation, investor diligence, funding, negotiation, implementation, reporting, and liquidation.
- Manage activities of outside counsel and coordinate legal involvement in transactions to ensure efficiency and compliance.
- Draft, review, and negotiate fund documentation, marketing materials, and investor side letters to meet funder requirements.
- Oversee fund formation, marketing, and oversight activities, ensuring regulatory compliance and consistency across fund products.
- Confirm investments meet funder requirements through diligence, review of term sheets, and final documentation.
- Handle contractual needs related to grants, vendors, technical assistance, and nondisclosure agreements.
- Support the legal team in structuring and developing documentation for venture capital investments and other initiatives.
- Collaborate with internal teams across functions such as investment, fundraising, finance, ESG, and compliance to ensure legal alignment.
Requirements
- Minimum of 4 years of experience practicing funds and transactional law and managing legal projects across various stakeholders
- Experience with governmental funders, including the Green Climate Fund or development finance institutions, is a plus
- Experience working with an impact or charitably oriented organization is a plus
- Exposure to US and/or UK investment adviser regulations is a plus
- Must be licensed to practice law in the US, with a JD or equivalent
- Must be authorized to work in the US
- Strong organizational and diplomacy skills, with the ability to work and deliver various, simultaneous projects independently, proactively, and under pressure
- Excellent written and verbal communication skills
- Commitment to accuracy, attention to detail, and follow-through
- Ability to understand and communicate complex legal issues and implications with various team members
- Ability to support legal activities throughout the lifecycle of pooled investment vehicles, including development, marketing, investor diligence, funding proposals, formation, negotiation, implementation, operationalization, reporting, and liquidation
- Experience in legal support for fund formation, investor relations, and compliance with applicable regulatory frameworks
- Experience reviewing and negotiating fund documentation, term sheets, and diligence summaries, including creating investee side letters and reviewing final documentation in coordination with outside counsel
- Ability to handle contractual needs for grants, vendors, technical assistance, and nondisclosure agreements
- Experience managing outside counsel and coordinating legal involvement in transactions
- Ability to communicate complex legal issues clearly to support decision-making across teams
- Experience supporting the structuring and development of term sheets and documentation for venture capital debt and equity investments (preferred)
- Ability to draft and review contracts for various functional teams (preferred)
- Experience in deal diligence and documentation review to confirm investments meet funder requirements
- Strong organizational skills and the ability to work across different time zones efficiently

Benefits & Perks
Salary range of 90,000 to 120,000 USD plus a performance-based bonus
Hybrid work model with 3 days in the office per week
