Job Description

The Legal Counsel at Acumen will provide legal support related to fund formation, transactional law, and organizational risk management, primarily focusing on impact investment funds, while collaborating with various teams to ensure compliance and effective operations in a mission-driven environment.

Key Responsibilities

  • Provide legal support throughout the lifecycle of pooled investment vehicles, including development, formation, investor diligence, funding, negotiation, operationalization, reporting, and liquidation.
  • Manage activities of outside counsel and coordinate legal involvement in transactions to ensure efficiency and risk management.
  • Support and maintain cohesion across global investment and support teams by liaising with various departments and external partners.
  • Negotiate and review fund offerings, marketing materials, and reporting documents to ensure regulatory compliance and clarity.
  • Confirm fund investments meet funder requirements, including creating side letters, reviewing term sheets, and final documentation.
  • Handle contractual needs related to grants, vendors, technical assistance, and nondisclosure agreements.
  • Monitor fund activities to ensure alignment with investor notices and consent requirements.
  • Support the legal team with structuring and developing documentation for venture capital investments and other initiatives.
  • Draft and review contracts for internal teams and external stakeholders to promote operational sustainability.

Requirements

  • Minimum of 4 years of experience practicing funds and transactional law and managing legal projects across various stakeholders
  • Experience with governmental funders, including the Green Climate Fund or development finance institutions, is a plus
  • Experience working with an impact or charitably oriented organization is a plus
  • Exposure to US and/or UK investment adviser regulations is a plus
  • Must be licensed to practice law in the US, with a JD or equivalent
  • Must be authorized to work in the US
  • Strong organizational and diplomacy skills, with the ability to work and deliver various, simultaneous projects independently, proactively, and under pressure
  • Excellent written and verbal communication skills
  • Commitment to accuracy, attention to detail, and follow-through
  • Ability to understand and communicate complex legal issues and implications with various team members
  • Ability to support legal activities throughout the lifecycle of pooled investment vehicles, including development, marketing, investor diligence, funding proposals, formation, negotiation, implementation, operationalization, reporting, and liquidation
  • Experience with fund formation, investor relations, and legal support for pooled investment vehicles
  • Experience reviewing and negotiating fund documentation, term sheets, and diligence summaries, including creating investee side letters and reviewing final documentation in coordination with outside counsel
  • Knowledge of venture capital and emerging markets investing is a plus
  • Experience handling contractual needs for fund teams, including grants, vendors, technical assistance, and nondisclosure agreements
  • Ability to monitor fund activities alongside fund teams for compliance with investor notice and consent requirements
  • Ability to manage outside counsel and coordinate legal involvement in transactions
  • Experience supporting early-stage venture capital investments, structuring, and developing term sheets and documentation, and driving investments to efficient closing is a plus
  • Strong organizational and diplomatic skills, with the ability to work across different teams and functions

Salary range of 90,000 to 120,000 USD plus a performance-based bonus
