Job Description
A senior contracting professional responsible for managing complex federal and commercial contracts, including negotiations, compliance, and risk mitigation, while providing strategic guidance and mentorship within Esri's Contracts and Legal Department.
Key Responsibilities
- Manage and negotiate complex federal and commercial contracts, including cloud, data, software, services, OEM, reseller, VAR, and partner agreements.
- Lead the full lifecycle of federal contracts, from RFP analysis and proposal development to negotiation, execution, and closeout.
- Provide expert guidance on FAR and DFAR compliance, ensuring alignment with federal procurement regulations.
- Represent Esri in discussions with federal agencies, prime contractors, and oversight bodies.
- Collaborate with internal teams to ensure contract terms align with business, financial, and risk management objectives.
- Identify and mitigate contractual risks, and develop strategies to streamline negotiations.
- Mentor and assist contracts team members in drafting and negotiating agreements, developing subject matter expertise.
Requirements
- Eight (8) years of experience negotiating and drafting agreements.
- Demonstrated success in negotiating and managing contracts with U.S. government entities and prime contractors.
- Deep understanding of FAR (Federal Acquisition Regulation), DFAR (Defense Federal Acquisition Regulation Supplement), GSA contracting, and federal procurement processes.
- Superior negotiation techniques and drafting skills.
- Mastery of written and verbal communications.
- Ability to review, draft, and negotiate cloud, data, software, services, OEM, reseller, VARs, and partner channel agreements of high complexity with commercial customers and government entities in accordance with Esri guidelines.
- Experience leading the full lifecycle of complex federal contracts, including RFP analysis, proposal development, negotiation, execution, and closeout.
- Ability to drive strategic contracting decisions that balance regulatory requirements with Esri’s business goals.
- Experience representing Esri in discussions with federal agencies, prime contractors, and oversight bodies such as DCMA, DCAA, SBA, and DSS.
- Ability to respond promptly to contract work requests and provide quality, customer-focused support to internal and external customers and suppliers.
- Ability to collaborate with and provide direction to internal teams to ensure contract terms are consistent with Esri’s business, financial, and risk management objectives.
- High ethical standards and compliance with company policies, laws, and regulations.
- Ability to create and update contract templates for new and existing products and programs.
- Proficiency in Microsoft Office, and knowledge of Apttus (now Conga) or Salesforce.
- Bachelor’s degree in business, contracts administration, legal studies, or a related field.
- Ability to manage a high volume of heavily negotiated contract templates and customer templates independently and efficiently.
- Excellent attention to detail, organizational skills, analytical thinking, and quick learning ability.
- Diligent and proactive approach with sound business judgment and strategic thinking.
- Ability to work independently as well as collaboratively in a fast-paced environment.
