A Taxation Attorney role focused on providing legal guidance for utility-scale solar and storage projects, specializing in federal tax credits, project structuring, and renewable energy financing transactions.
Key Responsibilities
Provide legal guidance on federal tax credit qualification, project structuring, and tax risk mitigation for utility-scale solar and storage projects
Draft, review, and negotiate project and financing documents including purchase agreements, financing documents, and tax equity arrangements
Advise on federal tax credit eligibility, transferability, and compliance with IRS guidance and Treasury regulations
Support the modeling, structuring, negotiation, and execution of contracts for renewable energy projects
Coordinate with external legal counsel and internal teams to ensure legal compliance and project success
Requirements
J.D. from an accredited law school and membership in at least one U.S. state bar
4 to 7 years of tax practice experience at a major law firm or equivalent environment
Experience with IRA-related guidance and transferability markets
Capability to interface directly with external advisors and counterparties
Demonstrated expertise in renewable energy tax incentives, tax equity structures, and project finance transactions
Strong understanding of partnership tax principles and federal income tax rules applicable to energy projects
Experience with federal tax credit qualification, including ITC, PTC, transferability, prevailing wage apprenticeship requirements, domestic content, and other issues
Experience with project structuring, commercial contract review, and drafting, including purchase price agreements, purchase and sale agreements, financing documents, EPC O M agreements, and tax equity documentation
Experience in tax equity financing, tax credit transfers, and other renewable energy financing arrangements
Ability to analyze and advise on federal tax credit eligibility and related issues
Ability to model, structure, negotiate, and execute contracts for utility-scale renewable energy projects
Ability to stay current and advise on evolving IRS guidance, Treasury regulations, and industry best practices related to renewable energy tax incentives
Excellent drafting, analytical, and communication skills
Ability to manage multiple projects simultaneously and work effectively with cross-functional teams
