Job Description
The Director, Corporate Counsel at Solid Power provides legal advice and leadership on corporate, securities, and transactional matters to support the company's growth in the battery industry, working closely with executive teams and outside counsel in a fast-paced environment.
Key Responsibilities
- Provide legal counsel on broad-ranging legal matters and compliance issues.
- Advise on securities laws, SEC reporting, Nasdaq compliance, and public disclosures.
- Draft and review transactional documents and commercial contracts.
- Assist in preparing materials for board, committee, and stockholder meetings.
- Collaborate with executive team on significant transactions.
- Monitor and advise on developments in securities laws, regulations, and corporate governance.
- Supervise outside counsel on various legal matters.
Requirements
- A juris doctor degree from a national law school with excellent academic credentials and admission or eligibility to the Colorado bar.
- At least 4 years of corporate and governance experience.
- Experience or exposure to securities laws, public company matters, and M&A is preferred.
- Hard-working, proactive self-starter who thrives in a fast-paced and complex professional environment.
- Intellectually curious, exceptionally organized, highly analytical, and attentive to detail.
- Strong problem-solving and critical thinking skills.
- Outstanding verbal and written communication skills, including the ability to write and present in a manner appropriate for executive- and director-level communications.
- Sound judgment and always acts with the highest ethical standards, respect for confidentiality, and a high degree of professionalism and discretion.
- Proven ability to work effectively under pressure and with limited supervision.
- Ability to manage, prioritize, and successfully complete multiple, time-sensitive projects.
- Fluent with software and technology, with strong working experience with MS Office applications including Teams, Excel, Word, PowerPoint, and Outlook.
- Physical ability to sit at a desk for prolonged periods and work on a computer.

Salary range of $200,000 - $240,000 per year
