Job Description
The corporate and securities counsel at Nuro will advise on US corporate matters, including governance, compliance, and strategic transactions, while managing the corporate secretary function and liaising with the Board of Directors. The role requires expertise in corporate and securities law, strong judgment, and the ability to navigate a fast-paced, technology-focused environment.
Key Responsibilities
- Advise executive leadership on corporate governance, compliance, and Board oversight.
- Manage corporate secretary functions including Board meeting logistics and materials.
- Liaise with the Board of Directors and lead investor engagement on corporate governance.
- Partner with teams to negotiate and finalize financing transactions, mergers, and acquisitions.
- Educate on legal concepts, identify risks, and develop strategies for favorable outcomes.
- Manage corporate governance rules, stock administration, and equity policies.
Requirements
- 5 years of experience as a lawyer in a fast growing, technology focused organization either in-house, working for similar clients at a top-tier law firm or both.
- Deep corporate and securities law expertise.
- Admitted to at least one state bar, ideally a member of the California Bar.
- Highly proficient knowledge of state corporate laws and other applicable corporate governance laws and regulations.
- Experience managing corporate governance rules, stock administration, equity policies, investor communication policies, and other relevant corporate policies.
