The Senior Counsel, Transactions at New Leaf Energy will provide legal support for renewable energy project acquisitions, dispositions, and financing, including drafting and negotiating key agreements, advising on risks, and collaborating with cross-functional teams to facilitate clean energy development.
Key Responsibilities
Counsel and advise on structuring, drafting, reviewing, and negotiating M&A transactions, including membership interest purchase agreements (MIPAs) and asset purchase agreements (APAs).
Identify, counsel, and advise on risks associated with purchase and sale transactions and develop risk mitigation strategies.
Collaborate with cross-functional teams on legal matters related to project development, financing, and transaction processes.
Draft, update, and maintain standard legal documents, templates, and operating procedures for renewable energy transactions.
Negotiate and draft commercial agreements such as joint venture agreements, power purchase agreements (PPAs), interconnection agreements, and O&M agreements.
Provide legal support for the origination, acquisition, sale, financing, ownership, and operation of renewable energy projects.
Supervise and coordinate work between in-house and outside counsel to ensure efficient legal workflow.
Requirements
Law degree and strong academic record from a leading ABA accredited law school.
At least 6-8 years of substantial, relevant legal experience at a top-tier law firm, sophisticated corporate legal department, or combination of the two.
Expert knowledge with respect to the legal issues and key deal points in M A, specifically MIPAs and APAs.
Extensive experience in independently structuring, drafting and negotiating purchase and sale agreements for renewable energy projects, specifically MIPAs and APAs.
Ability to independently structure, draft, review and negotiate other project commercial contracts, including joint venture agreements, power purchase agreements (PPAs), interconnection agreements, community solar and other subscriber agreements, and operation and maintenance agreements.
Ability to translate complex legal concepts into clear, actionable advice for non-lawyers.
Licensed to practice law or registered as in-house counsel in the State where the applicable New Leaf Energy office is located.
