Job Description

The Counsel, Transactions at New Leaf Energy will provide legal support for the purchase and sale of renewable energy projects, advising on various legal matters related to project finance, mergers and acquisitions, and compliance. This role involves drafting and negotiating agreements, collaborating with cross-functional teams, and managing legal risks associated with transactions.

Responsibilities

  • Counsel and support project finance professionals on structuring transactions for renewable energy assets
  • Draft, review, and negotiate membership interest purchase agreements (MIPAs) and asset purchase agreements (APAs)
  • Independently draft, review, and negotiate related ancillary documents and disclosure schedules
  • Identify and advise on risks related to purchase and sale transactions and develop mitigation plans
  • Collaborate with cross-functional stakeholders on purchase and sale transaction matters
  • Assist in improving tools and processes for renewable energy transaction origination and closing
  • Draft, update, and maintain template documents
  • Draft, review, and negotiate other commercial agreements, including joint venture agreements and power purchase agreements (PPAs)
  • Provide legal support for entity management and compliance matters
  • Provide legal support for project development matters, including regulatory and incentive programs
  • Manage and supervise outside counsel as needed
  • Assist with managing disputes as needed

Requirements

  • Law degree and strong academic record from a leading ABA accredited law school.
  • At least 5 years of substantial, relevant legal experience at a top-tier law firm, sophisticated corporate legal department, or combination of the two.
  • At least 5 years of substantial, relevant legal experience in structuring, drafting and negotiating purchase and sale agreements, specifically membership interest purchase agreements (MIPAs), asset purchase agreements (APAs) and related ancillary agreements.
  • Comprehensive knowledge of the legal issues, key deal points and customary process of mergers and acquisitions transactions.
  • Ability to structure, draft, review, and negotiate other project commercial contracts with moderate supervision.
  • Licensed to practice law or registered as in-house counsel in the State where the applicable New Leaf Energy office is located.
