A Legal Assistant role supporting the Legal Department in a fast-paced renewable energy and infrastructure finance environment, responsible for transactional, administrative, and operational tasks such as document preparation, file management, and coordinating legal processes.
Key Responsibilities
Provide transactional and administrative support to attorneys and legal operations leadership.
Maintain organized electronic and physical legal files in document management systems.
Track key dates, deadlines, and deliverables across legal matters and transactions.
Assist with preparation, formatting, proofreading, and distribution of legal documents and correspondence.
Coordinate execution of agreements, signature packets, and notary requirements.
Support post-closing processes, including data room organization and archival.
Assist with transaction workflows from diligence through closing and post-closing, ensuring accuracy and compliance.
Prepare, file, and maintain UCC financing statements, amendments, assignments, and terminations.
Prepare and file entity formation, foreign qualification, and corporate governance documents.
Serve as a liaison between Legal and internal departments to support business objectives.
Facilitate information gathering for due diligence, audits, regulatory reporting, and internal reviews.
Support AI implementation, knowledge management initiatives, and process improvements.
Assist with compliance tracking, reporting, and coordination of legal or regulatory training activities.
Requirements
Five years of transactional administrative or legal assistant experience in a law firm or in-house supporting corporate, finance, real estate, or transactional legal teams.
Experience supporting legal teams with UCC filings, closing processes, and post-closing management.
Proficiency in preparing, formatting, proofreading, and distributing legal documents, closing binders, and correspondence.
Experience coordinating the execution of agreements, signature packets, and notary requirements.
Ability to maintain organized electronic and physical legal files in document management systems such as iManage or similar.
Experience maintaining transaction checklists and monitoring the status of closing deliverables.
Experience supporting post-closing processes, including data room organization and archival.
Ability to prepare, file, and maintain UCC financing statements, amendments, assignments, and terminations, ensuring accurate tracking and recordkeeping within the organization’s UCC management system.
Experience preparing and filing entity formation, foreign qualification, and corporate governance documents across multiple jurisdictions.
Ability to serve as a liaison between Legal and internal departments such as Finance, Operations, and Compliance to support business objectives.
Experience facilitating information gathering for due diligence, audits, regulatory reporting, and internal reviews.
Strong organizational, decision-making, and problem-solving skills.
High level of attention to detail and accountability.
Proficiency in Microsoft Office Word, Excel, Outlook, Salesforce, and Adobe.
