Job Description
An experienced Taxation Attorney responsible for providing legal guidance on federal tax credits, project structuring, and financing for utility-scale renewable energy projects, including solar and storage, to support Avantus's clean energy development efforts.
Key Responsibilities
- Provide legal guidance on project development, including tax credit qualification, entity structuring, and tax risk mitigation.
- Analyze and advise on federal tax credit eligibility, transferability, and related requirements.
- Draft, review, and negotiate project and financing documents such as purchase agreements, financing documents, and tax equity agreements.
- Model, structure, negotiate, and execute contracts for utility-scale renewable energy projects.
- Collaborate with internal teams and external stakeholders, including sponsors, investors, lenders, and advisors.
- Coordinate with external legal counsel and stay informed on IRS guidance, Treasury regulations, and industry best practices related to renewable energy tax incentives.
Requirements
- J.D. from an accredited law school and membership in at least one U.S. state bar.
- 4 to 7 years of tax practice experience at a major law firm or equivalent environment.
- Experience with IRA-related guidance and transferability markets.
- Capability to interface directly with external advisors and counterparties.
- Demonstrated expertise in renewable energy tax incentives, tax equity structures, and project finance transactions.
- Strong understanding of partnership tax principles and federal income tax rules applicable to energy projects.
- Experience with federal tax credit qualification, including ITC, PTC, transferability, prevailing wage apprenticeship requirements, domestic content, and other issues.
- Experience with project structuring, tax risk mitigation, and monetization strategies related to utility-scale solar and storage projects.
- Experience drafting, reviewing, and negotiating project and financing documents such as purchase price agreements, purchase and sale agreements, financing documents, EPC O M agreements, and tax equity documentation.
- Ability to analyze and advise on federal tax credit eligibility and related issues.
- Ability to model, structure, negotiate, and execute contracts for utility-scale renewable energy projects.
- Ability to stay current and advise on evolving IRS guidance, Treasury regulations, and industry best practices related to renewable energy tax incentives.
- Excellent drafting, analytical, and communication skills.
- Ability to manage multiple projects simultaneously and work effectively with cross-functional teams.
